FREEPAID (PTY) LTD

1. General Terms

By participating in the Affiliate Program, Affiliates agree to the following terms and conditions. These terms may be updated at any time, and it is the Affiliate's responsibility to review them periodically.

2. Eligibility

• 2.1 The Affiliate Program is open to all existing customers of FREEPAID (PTY) LTD, via SIMcloud.
• 2.2 Participants must have an active account and be in good standing with FREEPAID.
• 2.3 Affiliates must provide accurate banking or payment details for commission payouts.

3. Commission Structure

• 3.1 Affiliates earn 1% of the turnover generated by businesses they refer using their unique Affiliate link.
• 3.2 Turnover is calculated based on the sales of airtime, data, and bulk SMS by the referred business.
• 3.3 Commissions are only paid on successful, completed transactions, monthly in arrears.

4. Minimum Payout Threshold

• 4.1 Commissions will be paid out once the Affiliate's earnings have reached R1000 or more.
• 4.2 The minimum payout threshold is set to reduce administrative costs.
• 4.3 If the Affiliate's balance is below R1000, the commission will roll over to the next month until the threshold is met.
• 4.4 There are no monthly fees for participation.
• 4.5 The Affiliate will have no right to, and no claim against Freepaid for, cumulative commissions below R1000 in value.

5. Payment Schedule

• 5.1 Commission payments are made monthly, within 30 days after the end of each calendar month.
• 5.2 Payments are made via EFT only.
• 5.3 It is the sole responsibility of the Affiliate to provide FREEPAID with the correct banking details for payments and to ensure they are correctly entered in SIMcloud at all times.
• 5.4 FREEPAID is not responsible for delays or damages caused by incorrect banking information.
• 5.5 The Affiliate is responsible for their own taxation.

6. Affiliate Link and Referrals

• 6.1 Each Affiliate will receive a unique Affiliate link, which must be used for tracking referrals.
• 6.2 Businesses referred by the Affiliate must sign up using the Affiliate link for the Affiliate to earn commissions.
• 6.3 If a business signs up without using the link, no commission will be awarded to the Affiliate.

7. Fraudulent Activity

• 7.1 Any form of fraudulent or dishonest activity, including self-referrals or attempts to manipulate the system, will result in immediate termination of the Affiliate's participation and forfeiture of any unpaid commissions.
• 7.2 FREEPAID reserves the right to audit and investigate any suspicious activity.

8. Termination of Participation

• 8.1 Either party may terminate participation in the Affiliate Program at any time without notice.
• 8.2 Upon termination, Affiliates will receive any pending commission payments if the minimum payout threshold has been met.

9. Modifications to the Program

• 9.1 FREEPAID reserves the right to modify, suspend, or terminate the Affiliate Program at any time.
• 9.2 Affiliates will be notified of any changes, and continued participation in the program after modifications will constitute acceptance of the revised terms.

10. Liability

FREEPAID will not be liable for any indirect, special, or consequential damages arising in connection with this agreement or the Affiliate Program.
